2. GIVEAWAY AND YOUR AGREEMENT. Please read the following Official Rules carefully before deciding whether to submit your Entry. These Official Rules (the “Official Rules”) govern the Cap & Corolla Giveaway (the “Giveaway”) sponsored by Servco Pacific Inc., doing business as Toyota Hawaii, together with participating authorized Toyota Hawai’i dealerships, including M 75, Inc. doing business as Maui Toyota, involved in the administration, promotion, or fulfillment of the Giveaway, (collectively, the “Sponsor”), with a principal business address of 2850 Pukoloa Street, Suite 200, Honolulu, HI 96819. For purposes of these Official Rules, references to Sponsor shall include participating authorized Toyota Hawai’i dealerships, including M 75, Inc. doing business as Maui Toyota, and their respective parent companies, affiliates, officers, directors, employees, contractors, agents, successors, and assigns. By participating in the Giveaway, each participant (“Entrant” or “you”) agrees to be bound by these Officials Rules and by all decisions of Sponsor which shall be final, binding, and conclusive in all respects. By participating in this Giveaway, you are agreeing to enter into an electronic contract with Sponsor and to be bound by these Official Rules governing the Giveaway, and you are confirming your agreement to these Official Rules. By participating, you also agree to the collection and use of your personal information as described in Section 5 and 23.

Sponsor encourages you to print and keep a copy of these Official Rules for your records. Sponsor is also not responsible for any incorrect or inaccurate information, whether caused by any equipment or programming associated with or utilized in the Giveaway.

3. ELIGIBILITY. The Giveaway is only open to individuals who, at the time of entry (i) are legal residents of the State of Hawai‘i; (ii) are at least eighteen (18) years of age at the time of entry; (iii) graduated from a high school, trade school, community college, or accredited college or university between June 1, 2024 and June 30, 2026; and (iv) possess a valid United States driver’s license at the time of Winner verification. Both U.S. citizens, and foreign nationals lawfully residing in the U.S. under valid student visa status or other lawful immigration classifications are eligible. Proof of lawful status may be required upon request. The Giveaway is void where prohibited or restricted by law.

Employees, officers, directors, managers, agents, representatives, contractors, consultants, interns, and immediate family members or household members of Sponsor, its parents, subsidiaries, affiliates, dealerships, distributors, advertising agencies, promotional partners, vendors, service providers, or entities involved in administration or promotion of the Giveaway are not eligible to participate.

Sponsor reserves the right, at any time and in its sole discretion, to verify eligibility, identity, residency, graduation status, compliance with these Official Rules, and the validity of any entry or participation activity. Sponsor may disqualify any Entrant who fails to satisfy any eligibility requirement or otherwise violates these Official Rules.

4. COMPLIANCE WITH APPLICABLE LAW. These Official Rules are intended to comply with all applicable federal, state, and local laws and regulations. Participation in the Giveaway is subject to such laws, and any provision herein shall apply only to the extent permitted by the laws of the relevant jurisdiction. Nothing in these Official Rules shall be construed to impose any obligation, right, or remedy that is prohibited or unenforceable under applicable law. Sponsor reserves the right to modify or limit the Giveaway as necessary to comply with legal requirements.

5. ELECTRONIC COMMUNICATIONS. By entering the Giveaway, you agree to do business with Sponsor electronically. By agreeing to do business electronically and voluntarily providing contact information, Entrant agrees (i) that Sponsor may communicate with Entrant regarding administration of the Giveaway, including eligibility verification, winner notification, prize fulfillment, and related operational matters. By voluntarily providing a mobile telephone number and affirmatively opting in where indicated, Entrant expressly consents to receive autodialed or automated informational and marketing SMS/MMS communications from Sponsor, regarding promotions, products, services, campaigns, events, and related marketing activities. Entrant acknowledges that consent is not required to enter or win, that message frequency may vary, that message and data rates may apply, and that consent may be revoked at any time by replying STOP. Consent to receive marketing communications is optional, is not required to enter or win, and will not increase an Entrant’s chances of winning.

By voluntarily providing an electronic mail address, Entrant consents to receive marketing and promotional electronic mail communications from Sponsor and may unsubscribe at any time using the unsubscribe mechanism contained in such communications. This consent is effective unless and until you withdraw it. If you withdraw your consent during the Entry Period (as defined below), it may affect your ability to participate in the Giveaway. After the Entry Period, you may withdraw your consent to electronic communication and delivery of documents, update your contact information, or request a paper copy of these Official Rules at any time by contacting us as set forth below. We will send you a confirmation notice once we have processed your change request.

Sponsor reserves the right to maintain records of consent, communications, and opt-out requests to the fullest extent permitted by law.

This section governs your consent to electronic delivery of documents and notices related to the Giveaway. For information on how your personal information may be used for marketing or promotional purposes, see Section 23.

6. DATA COLLECTION, USE, AND DISCLOSURE. Entrant acknowledges and agrees that Sponsor may collect, process, combine, analyze, maintain, disclose, share, transfer, retain, and otherwise use information submitted in connection with the Giveaway for purposes relating to Giveaway administration, eligibility verification, communications, prize fulfillment, customer relationship management, analytics, segmentation, audience modeling, advertising, marketing, fraud prevention, legal compliance, operational activities, and related business purposes. All collection, use, disclosure, retention, and sharing of personal information shall remain subject to Sponsor’s Privacy Policy and applicable law.

Information collected in connection with the Giveaway may be shared with Sponsor’s parents, subsidiaries, affiliates, dealerships, vendors, agencies, service providers, analytics providers, technology providers, customer relationship management providers, marketing platforms, and entities assisting with administration or operation of the Giveaway or related business activities.

Sponsor may retain Giveaway-related submissions, communications, verification materials, consent logs, and associated records for as long as reasonably necessary or permitted under applicable law.

All information collected in connection with the Giveaway shall remain subject to Sponsor’s Privacy Policy.

7. ENTRY PERIOD. The Giveaway begins on June 1, 2026, at 9:00 a.m. Hawai‘i Standard Time (“HST”) and ends on June 30, 2026, at 11:59 p.m. HST (the “Entry Period”). Sponsor’s designated timekeeping system shall constitute the official clock of the Giveaway.

8. HOW TO ENTER. During the Entry Period, eligible Entrants may enter the Giveaway by completing and submitting the official entry form designated by Sponsor through the official Giveaway landing page identified by Sponsor.

Limit one (1) base entry per Entrant during the Entry Period. Sponsor may, in its sole discretion, permit Entrants to receive additional entries through designated promotional or social engagement activities identified by Sponsor, including social media follows, reposts, shares, story posts, tags, comments, or other designated engagement actions. Each completed and verifiable qualifying action shall constitute one (1) additional entry unless otherwise specified by Sponsor. No purchase, payment, or commercial transaction is required to obtain any entry or bonus entry. Use of multiple social media accounts, fake accounts, automated activity, or coordinated engagement schemes is prohibited and may result in disqualification.

All entries and bonus entries remain subject to verification. Sponsor reserves the right, in its sole discretion, to invalidate, reject, or disqualify any entry that Sponsor determines: (a) was generated through automation, scripts, bots, artificial means, or fraudulent activity; (b) was submitted using multiple identities, accounts, or deceptive practices; (c) interferes with administration or integrity of the Giveaway; or (d) otherwise violates these Official Rules.

Proof of submission does not constitute proof of receipt, eligibility, or compliance with these Official Rules. Entries become the property of Sponsor and will not be returned or acknowledged.

Incomplete entries or entries received outside of the Entry Period are void. Entrants requiring an alternate means of entry due to disability or accessibility may contact Sponsor at content@servco.com or 808-564-2325 during the Entry Period to arrange for reasonable accommodation.

9. PRIZE. One (1) verified Winner will receive one (1) 2026 Toyota Corolla LE (the “Prize Vehicle”). The approximate retail value (“ARV”) of the Prize Vehicle is $25,277.

The Prize Vehicle consists solely of the specific vehicle designated by the Sponsor in the configuration, trim level, color, equipment package, and specifications determined by Sponsor in its sole discretion. No substitutions, upgrades, dealer-installed accessories, optional equipment, cash alternatives, or modifications are included unless expressly identified by Sponsor in writing.

THE PRIZE VEHICLE WILL BE AWARDED ‘AS IS’ AND ‘WITH ALL FAULTS,’ EXCEPT TO THE EXTENT ANY NON-WAIVABLE WARRANTIES APPLY UNDER APPLICABLE LAW OR ANY TRANSFERABLE MANUFACTURER WARRANTY REMAINS IN EFFECT.

Winner acknowledges and agrees that any upgrades, including but not limited to, accessories, customization, modifications, protection products, maintenance products or additional equipment desired following delivery of the Prize Vehicle shale be solely at the Winner’s expense and responsibility.

Sponsor reserves the right, in its sole discretion, to substitute the Prize Vehicle with a vehicle or prize of equal or greater value if the advertised Prize Vehicle becomes unavailable for any reason.

Winner shall also be responsible for taxes and other obligations associated with the Prize Vehicle as further described in the Taxes and Reporting Obligations section below.

As a condition of receiving the Prize Vehicle, Winner shall execute and return all documentation reasonably requested by Sponsor, including title and registration documents, affidavit of eligibility, liability release, publicity release, proof of insurance, and any other documentation required for lawful transfer and delivery of the Prize Vehicle.

Winner agrees that the Prize Vehicle may not be voluntarily sold, transferred, assigned, marketed for sale, or otherwise disposed of for a period of one (1) year following delivery of the Prize Vehicle without Sponsor’s prior written consent. The Prize Vehicle may not be redeemed for cash.

10. TAXES AND REPORTING OBLIGATIONS. Winner shall be solely responsible for any and all federal, state, and local taxes, fees, assessments, and other governmental charges associated with acceptance, receipt, ownership, registration, titling, possession, or use of the Prize Vehicle, including income taxes arising from the award of the Prize Vehicle.

Sponsor may issue to Winner an IRS Form 1099 or other applicable tax reporting form reflecting the approximate retail value of the Prize Vehicle or other taxable value as determined by Sponsor in its sole discretion and in accordance with applicable law.

Winner acknowledges that Sponsor has not provided any tax advice regarding the Giveaway or the Prize Vehicle and that Winner should consult with their own tax advisor regarding the tax consequences of accepting the Prize Vehicle.

As a condition of receiving the Prize Vehicle, Winner may be required to complete and return an IRS Form W-9 and any other tax-related documentation reasonably requested by Sponsor.

If Winner fails to timely provide any required tax forms or documentation, Sponsor may disqualify Winner and select an alternate Winner in accordance with these Official Rules.

11. WINNER SELECTION AND VERIFICATION. One (1) Winner shall be selected in a random drawing conducted by Sponsor or its designee from among all eligible entries received during the Entry Period on or about July 1, 2026. The odds of winning depend on the total number of eligible entries received during the Entry Period. All decisions of the Sponsor in selecting the Winner are final and binding.

Potential Winner shall be notified using the contact information provided at entry. Sponsor shall have no liability for any unsuccessful attempt to notify a potential Winner. Potential Winner must respond within twenty-four (24) hours following Sponsor’s initial notification attempt. Failure to timely respond may result in disqualification and selection of an alternate Winner.

Sponsor reserves the right to require proof of identity, residency, graduation status, age, insurance coverage, valid Hawai‘i driver’s license, eligibility, and compliance with these Official Rules, including any tax-related documentation required under the Taxes and Reporting Obligations section. Winner must provide proof of insurance meeting Hawai‘i minimum legal requirements prior to taking delivery of the Prize Vehicle.

If Sponsor determines, in its sole discretion, that a potential Winner is ineligible, fails verification, fails to execute required documentation, fails to maintain required insurance, cannot legally accept the Prize Vehicle, or otherwise fails to comply with these Official Rules, Sponsor may disqualify the potential Winner and select an alternate Winner.

Winner may waive their right to receive the prize. Prize Vehicle is non-assignable and nontransferable. No substitutions allowed by Winner. Prize Vehicle is subject to availability and Sponsor reserves the right to substitute a prize of comparable or greater value.

12. PRIZE DELIVERY AND TRANSFER. Delivery of the Prize Vehicle shall occur through a dealership designated by Sponsor, including Maui Toyota. Winner must appear in person unless otherwise approved in writing by Sponsor and complete all documentation and legal requirements associated with transfer, registration, titling, and delivery of the Prize Vehicle.

Sponsor shall have no obligation to deliver the Prize Vehicle until all verification procedures, insurance requirements, and documentation requirements have been fully satisfied. Risk of loss, responsibility, and liability relating to the Prize Vehicle shall transfer to Winner upon delivery.

13. PERMISSION TO USE NAME/LIKENESS. Except where prohibited by law, participation in the Giveaway and/or acceptance of the Prize Vehicle, constitutes Entrant’s and Winner’s irrevocable consent for Sponsor and its designees to use Entrant’s or Winner’s name, likeness, image, voice, photograph, social media content, statements, biographical information, publicity, trade, analytics, business, and promotional purposes in any media now known or later developed, worldwide for lawful advertising, promotional, publicity, and marketing purposes related to Sponsor’s business activities, without additional compensation, notice, or approval. Where permitted by law, Winner may be required to sign a written Publicity Release form to authorize Sponsor’s promotional use of the above.

14. RELEASE OF LIABILITY, ASSUMPTION OF RISK, AND INDEMNIFICATION. By entering this Giveaway, each entrant voluntarily assumes all risks associated with participation and agrees to release, indemnify, defend and hold harmless Sponsor, its advertising and promotional agencies, and their respective officers, directors, employees, contractors, agents, representatives, and participating dealerships, including Maui Toyota, and its respective owners, affiliates, officers, directors, employees, agents, successors, and assigns (collectively, the “Released Parties”) from and against any and all claims, actions, liabilities, damages, losses, costs, or expenses (including attorneys’ fees) arising out of or related to: (i) participation in the Giveaway; (ii) acceptance, possession, use, misuse, or inability to use the Prize Vehicle, or any related activity, transaction, occurrence, or event; (iii) risks associated with operation or use of a motor vehicle, which may result in property damage, bodily injury, serious injury, or death; and (iv) any error in the administration of the Giveaway; or (v) any breach of these Official Rules.

Entrants understand and agree that participation in the Giveaway is voluntary and may involve both known and unknown risks, which they assume in full.

Entrant further acknowledges and agrees that the Released Parties make no representation or warranty regarding the condition, suitability, safety, merchantability, roadworthiness, insurability, fitness for a particular purpose, or legal compliance of the Prize Vehicle except to the extent any transferable manufacturer warranty may apply.

As a condition of prize acceptance, the selected Winner may be required to complete and return a signed Affidavit of Eligibility, a Liability Waiver, a Publicity Release as required under these Official Rules. Sponsor reserves the right to condition the awarding of a prize on the receipt of these executed documents. Failure to complete the required documentation may result in disqualification pursuant to Section 16.

Nothing in these Official Rules shall release, waive, or limit liability for gross negligence, reckless misconduct, intentional misconduct, fraud, or any liability that cannot lawfully be waived or limited under applicable law.

This release shall survive the expiration or termination of the Giveaway and shall remain enforceable to the fullest extent permitted by applicable law.

15. LIMITATION OF LIABILITY. To the fullest extent permitted by law, the Released Parties shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages arising out of or relating to the Giveaway, these Official Rules, participation in the Giveaway, or the acceptance, possession, ownership, operation, use, misuse, or inability to use the Prize Vehicle, regardless of the theory of liability and even if advised of the possibility of such damages.

Without limiting the foregoing, the Released Parties shall not be liable for lost profits, loss of data, loss of business opportunity, reputational harm, emotional distress, diminished value, transportation costs, substitute transportation, loss of use, interruption of business or operations, or any technical, electronic, network, platform, software, hardware, telecommunications, internet, or administrative failures associated with the Giveaway.

Entrant agrees that any claim arising out of or relating to the Giveaway shall be limited to actual out-of-pocket costs directly associated with participation in the Giveaway and in no event shall Entrant be entitled to punitive damages or consequential damages except to the extent prohibited by applicable law.

16. RIGHT TO DISQUALIFY. Sponsor reserves the right to cancel, terminate, modify, or suspend the Giveaway if it determines that the Giveaway is not capable of being conducted as intended for any reason, including but not limited to fraud, technical failure, or other causes beyond the control of the Sponsor. Sponsor reserves the right to disqualify any individual who tampers with the entry process or violates these Official Rules. 

17. ARBITRATION; CLASS ACTION WAIVER; JURY WAIVER. Except where prohibited by law, any dispute, claim, controversy, or cause of action arising out of or relating to the Giveaway, these Official Rules, the Prize Vehicle, or any related communication, transaction, or activity shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association in Honolulu, Hawai‘i pursuant to its applicable arbitration rules.

Entrant knowingly and voluntarily waives any right to: (a) commence or participate in any class action or representative proceeding; (b) participate in any class arbitration; (c) consolidate claims with those of any other person or entity; or (d) pursue claims in a court of law except as expressly required by applicable law.

Entrant further knowingly and voluntarily waives any right to trial by jury.

The arbitrator shall have exclusive authority to resolve any dispute relating to enforceability, interpretation, applicability, or formation of these Official Rules, including the arbitrability of any dispute.

Any arbitration shall be conducted solely on an individual basis. The arbitrator may not consolidate claims or preside over any representative or class proceeding.

18. RESERVATION OF RIGHTS. Sponsor reserves the right, in its sole discretion, to modify, suspend, terminate, cancel, amend, interpret, or administer the Giveaway and these Official Rules as reasonably necessary to administer the Giveaway, comply with applicable law, address fraud or technical issues, or protect the integrity of the Giveaway, including where fraud, technical failures, unauthorized intervention, legal or regulatory concerns, platform issues, force majeure events, public safety concerns, operational issues, or any other factor impairs or may impair the integrity, security, fairness, or proper administration of the Giveaway.

Sponsor further reserves the right, in its sole discretion, to disqualify any Entrant determined by Sponsor to: (a) violate these Official Rules; (b) tamper with the entry process; (c) engage in fraudulent, deceptive, abusive, or disruptive conduct; (d) interfere with administration of the Giveaway; or (e) otherwise compromise the integrity or intended operation of the Giveaway.

Sponsor’s interpretations, determinations, decisions, and resolutions concerning the Giveaway and these Official Rules shall be final, binding, and conclusive in all respects.

19. FORCE MAJEURE. Sponsor shall not be liable for any failure or delay in holding the Giveaway or awarding prizes due to events beyond its reasonable control (“Force Majeure Events”). Force Majeure Events include, but are not limited to, acts of God (e.g., earthquakes, hurricanes, floods, or volcanic activity), pandemics, epidemics, governmental orders or regulations, labor disputes (e.g., strikes or lockouts), equipment failures, power outages, riots, insurrections, wars (declared or undeclared), or any other similar events that are not attributable to the Sponsor's negligence or willful misconduct. In the event of a Force Majeure Event, the Sponsor shall make reasonable efforts to resume the Giveaway or award prizes as soon as practicable.

20. GOVERNING LAW AND VENUE. These Official Rules and the Giveaway shall be governed by and construed in accordance with the laws of the State of Hawai‘i, without regard to conflict-of-law principles.

To the extent any dispute is permitted to proceed in court notwithstanding the arbitration provision contained in Section 17, such dispute shall be brought exclusively in a state or federal court located in Honolulu, Hawai‘i, and each Entrant irrevocably submits to the jurisdiction and venue of such courts.

21. SEVERABILITY. If any provision of these Official Rules is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Official Rules without affecting the validity, legality, or enforceability of the remaining provisions, which shall remain in full force and effect.

Where legally permissible, any such provision shall be modified by the Sponsor to the minimum extent necessary to reflect the original intent of the provision. Any such modification shall be binding on all participants and shall be deemed incorporated into these Official Rules.

If any provision is deemed invalid, illegal, or unenforceable and cannot be modified to be enforceable, these Official Rules shall be construed as if such invalid, illegal, or unenforceable provision had never been included.

Notwithstanding the foregoing, if any of the key provisions relating to liability limitations, releases, dispute resolution, governing law, or jurisdictional requirements are found to be invalid, illegal, or unenforceable, the Sponsor reserves the right, at its sole discretion, to either modify such provision to the extent permitted by Hawaii law to render it enforceable or terminate the Giveaway if the Sponsor determines that such provision is material to the operation and administration of the Giveaway. The invalidity of any provision in a particular jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

Failure by Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision or any other provision.

22. PLATFORM DISCLAIMER. This Giveaway is not sponsored, endorsed, administered by, or associated with Instagram, Facebook, Meta Platforms, Inc., or any social media platform used in connection with the Giveaway. If Instagram, Facebook, or Meta platforms are used in connection with the Giveaway, Entrants understand they are providing information to Sponsor and not to Meta Platforms, Inc.

23. PRIVACY. Sponsor respects your privacy. Personal data of entrants is gathered and processed in accordance with the applicable data protection laws. By submitting your entry into the Giveaway, you acknowledge and agree that Sponsor may collect and use your personal information for purposes of administering the Giveaway and for promotional communications from Sponsor and its affiliates. Entrants may opt out of receiving future marketing communications by following unsubscribe instructions in any email or by contacting content@servco.com. This opt-out does not affect mandatory communication related to Giveaway administration, which will be sent as described in Section 5. Consent to receive promotional communications is not required to enter or win the Giveaway.
